CHAPTER 44
An Act to authorize Certas Direct Insurance Company to apply to be continued as a company under the laws of the Province of Quebec
[Assented to 14th June, 2001]
Preamble
WHEREAS Certas Direct Insurance Company (hereinafter referred to as the “Company”), having its principal place of business in the City of Mississauga, in the Province of Ontario, has set out in its petition:
(a) that the Company was originally incorporated on September 1, 1993 pursuant to section 22 of the Insurance Companies Act, under the name “CIBC General Insurance Company Limited,” as certified by letters patent issued on that date by the Minister of Finance;
(b) that the Company was amalgamated with CIBC General Group Insurance Company Limited on November 1, 1994, by letters patent of amalgamation, issued pursuant to section 251 of the Insurance Companies Act, continuing both companies as one company under the name “CIBC General Insurance Company Limited;
(c) that the name of the Company was changed to “The Personal Direct Insurance Company of Canada” by amending letters patent issued on September 1, 2000, pursuant to section 225 of the Insurance Companies Act;
(d) that the name of the Company was further changed to “Certas Direct Insurance Company” by amending letters patent issued on March 14, 2001, pursuant to section 225 of the Insurance Companies Act;
(e) that the Company wishes to be continued as a body corporate under the laws of the Province of Quebec; and
(f) that there is no legislative provision authorizing an insurance company incorporated under the laws of Canada to be continued as a body corporate under the laws of a province;
AND WHEREAS the Company has, by its petition, prayed that it be enacted as set forth in this Act, and it is expedient to grant the prayer of the petition;
NOW, THEREFORE, Her Majesty, by and with the advice and consent of the Senate and the House of Commons of Canada, enacts as follows:
Authorization
1. The Company may apply to be continued as a body corporate under the laws of the Province of Quebec as if it had been incorporated under those laws.
Effect of continuation
2. On the day on which it is continued as a body corporate under the laws of the Province of Quebec, the Company ceases to be governed by the Insurance Companies Act.
