SOMMAIRE
Le texte modifie la Loi sur la gestion des finances publiques afin que les conseils d’administration des sociétés d’État mères ne puissent se composer de moins de femmes que d’hommes.
SUMMARY
This enactment amends the Financial Administration Act to provide that the boards of directors of parent Crown corporations are not to be composed of fewer women than men.

Préambule
Attendu :
que les femmes au Canada continuent d’être sous-représentées au sein des conseils d’administration des sociétés;
que des études de plus en plus nombreuses montrent que les conseils d’administration composés d’hommes et de femmes sont plus efficaces, ont un meilleur rendement, disposent d’un plus vaste bassin de compétences et s’adaptent mieux aux conditions du marché, ce qui entraîne de meilleures décisions;
que la majorité des sociétés d’État mères comptent au sein de leur conseil d’administration un pourcentage beaucoup plus élevé d’hommes que de femmes, les femmes n’occupant que 27 % des postes;
qu’en 2011, près de 40 % des 500 sociétés figurant au palmarès du Financial Post et près de la moitié des sociétés cotées en bourse ne comptaient aucune femme au sein de leur conseil d’administration;
qu’en 2012, seulement 14,5 % des postes des conseils d’administration des 500 sociétés figurant au palmarès du Financial Post étaient occupés par des femmes et, si on exclut les sociétés d’État, seulement 10 % des postes des conseils d’administration de ces sociétés étaient occupés par des femmes;
que les femmes participent activement au gouvernement démocratique du pays, tant à titre d’électrices que de politiciennes, et qu’elles devraient jouir d’une représentation équilibrée au sein des conseils d’administration des sociétés d’État mères;
que de nombreuses femmes au Canada ont les qualifications et l’expérience requises pour siéger aux conseils d’administration des sociétés d’État mères;
que les femmes doivent bénéficier de chances égales d’être nommées aux conseils d’administration des sociétés d’État mères,
Preamble
Whereas women in Canada continue to be under-represented on the boards of directors of corporations;
Whereas a growing body of research has shown that corporate boards composed of both men and women are more effective, perform better, access the widest talent pool, are more responsive to the market and lead to better decision making;
Whereas the majority of parent Crown corporations have a much higher percentage of men than women appointed as directors, with women making up only 27% of directors;
Whereas, in 2011, nearly 40% of Financial Post 500 companies and close to half of all publicly traded companies had no women on their boards;
Whereas, in 2012, only 14.5% of the directors of Financial Post 500 companies were women and, excluding Crown corporations, only 10% of the directors of those companies were women;
Whereas women are active participants in the democratic government of the country, both as voters and as politicians, and should have balanced representation on the boards of directors of parent Crown corporations;
Whereas there are many women in Canada who have the qualifications and experience to act on the boards of directors of parent Crown corporations;
And whereas women should be provided with equal opportunity to be appointed to the boards of directors of parent Crown corporations;

1 L’article 105 de la Loi sur la gestion des finances publiques est modifié par adjonction, après le paragraphe (1), de ce qui suit :

105.2 (1) Dans les six mois suivant la date d’entrée en vigueur de la présente loi, le ministre compétent fait déposer devant chaque chambre du Parlement un rapport sur la composition hommes-femmes du conseil d’administration de chaque société d’État mère dont il est responsable devant le Parlement.
End of inserted block105.2 (1) Within six months after the day on which this section comes into force, the appropriate Minister shall cause a report on the male-to-female composition of the board of directors of each parent Crown corporation for which the Minister is accountable to Parliament to be tabled in each House of Parliament.

End of inserted block(2) On the fifth anniversary of the day on which this section comes into force and every five years after that, a comprehensive review of section 105.1 and its operation shall be undertaken by the committee of the Senate, of the House of Commons or of both Houses of Parliament that may be designated or established for that purpose.

3 Si, le jour suivant l’entrée en vigueur de l’article 2, le conseil d’administration d’une société d’État mère se compose de moins de femmes que d’hommes, le ministre compétent ne pourra y nommer que des femmes tant que ces dernières sont moins nombreuses que les hommes.
3 If, after the day on which section 2 comes into force, the board of directors of a parent Crown corporation is composed of fewer women than men, the appropriate Minister may only appoint women as directors until there are no fewer women than men serving as directors on the board.
